Hizmet Sözleşmesi ve Kullanım Koşulları
1. Taraflar
İşbu sözleşme, bir tarafta [Firma unvanı] ([adres], vergi dairesi ve numarası [vergi bilgisi], MERSİS [mersis no]) — bundan sonra "Hizmet Sağlayıcı" veya "ECU Felix" olarak anılacaktır — ile diğer tarafta ecufelix.com üzerinden hesap açan ticari kullanıcı — bundan sonra "Müşteri" olarak anılacaktır — arasında akdedilmiştir.
2. Müşterinin Ticari Sıfatı
Bu hizmet yalnızca ticari kullanıcılara sunulmaktadır. Müşteri, hesap açmakla birlikte aşağıdakileri beyan ve taahhüt eder:
- Tacir, esnaf, serbest meslek erbabı veya tüzel kişi sıfatıyla, ticari faaliyeti kapsamında hareket ettiğini,
- Tüketici sıfatıyla hareket etmediğini ve tüketici mevzuatından doğan hakları talep etmeyeceğini,
- Kayıt sırasında verdiği ticari unvan, vergi numarası ve diğer bilgilerin doğru olduğunu.
Hizmet Sağlayıcı, ticari sıfatı doğrulamak amacıyla belge talep etme ve doğrulanamayan hesapları askıya alma hakkını saklı tutar.
3. Sözleşmenin Konusu ve Hizmetin Niteliği
Sözleşmenin konusu, Müşterinin elektronik ortamda ilettiği motor kontrol ünitesi (ECU) yazılım dosyalarının, Müşterinin seçtiği modifikasyonlar doğrultusunda Hizmet Sağlayıcı tarafından düzenlenmesi ve Müşteriye elektronik ortamda teslim edilmesidir.
Hizmet bir yazılım düzenleme hizmetidir. Hizmet Sağlayıcı; araç bakımı, onarımı, montajı veya araca fiziki müdahale hizmeti vermez. Dosyanın araca yüklenmesi, yükleme sırasındaki tüm işlemler ve bunların sonuçları münhasıran Müşterinin sorumluluğundadır.
4. Hesap ve Güvenlik
- Müşteri, hesap bilgilerinin gizliliğinden ve hesabı üzerinden yapılan tüm işlemlerden sorumludur.
- Hesap devredilemez; üçüncü kişilerle paylaşılamaz.
- E-posta adresinin doğrulanması zorunludur. Doğrulanmamış hesaplar dosya gönderemez.
- Yetkisiz erişimden şüphelenen Müşteri, durumu gecikmeksizin Hizmet Sağlayıcıya bildirmekle yükümlüdür.
5. Kredi Sistemi ve Ücretlendirme
Hizmet bedelleri kredi birimiyle ifade edilir. 1 kredi = 1 EUR karşılığıdır.
- Krediler ön ödemeli olarak satın alınır ve Müşterinin hesabına tanımlanır.
- Her modifikasyonun kredi bedeli, seçilen ECU'nun zorluk katsayısıyla çarpılarak hesaplanır. Nihai tutar, talep gönderilmeden önce Müşteriye gösterilir.
- Krediler satın alma tarihinden itibaren 365 gün geçerlidir. Bu sürenin sonunda kullanılmayan krediler geçersiz hale gelir ve bedel iadesine konu edilemez.
- Krediler nakde çevrilemez, üçüncü kişilere devredilemez, başka hesaplara aktarılamaz.
- Fiyatlar önceden bildirilmeksizin değiştirilebilir. Değişiklik, halihazırda hesaba tanımlanmış kredilerin birim değerini etkilemez.
6. Dosya Gönderimi ve Müşterinin Beyanları
Müşteri, gönderdiği her dosya bakımından aşağıdakileri beyan ve taahhüt eder:
- Dosyanın ilgili araçtan usulüne uygun şekilde okunduğunu ve dosya üzerinde işlem yaptırmaya yetkili olduğunu,
- Aracın maliki olduğunu veya malikinden gerekli yetkiyi aldığını,
- Dosyanın üçüncü kişilerin fikri mülkiyet haklarını ihlal etmediğini,
- Dosyanın çalınmış bir araca, yasa dışı bir faaliyete veya hırsızlık amacına hizmet etmediğini,
- Gönderim öncesinde orijinal dosyanın yedeğini kendi ortamında aldığını.
Bu beyanların gerçeğe aykırı olmasından doğacak her türlü hukuki ve cezai sorumluluk münhasıran Müşteriye aittir.
7. Teslim Süresi
Sitede belirtilen teslim süreleri ortalama değerlerdir, taahhüt niteliğinde değildir. Yoğunluk, dosyanın karmaşıklığı, ECU tipi ve teknik güçlükler nedeniyle süre uzayabilir. Teslim süresinin aşılması, Müşteriye sözleşmeyi fesih veya tazminat hakkı vermez.
8. Reddedilen Talepler ve Kredi İadesi
Hizmet Sağlayıcı, aşağıdaki hallerde talebi reddeder ve düşülen krediyi tam olarak iade eder:
- Orijinal Değil: Gönderilen dosyanın daha önce modifiye edildiğinin tespiti,
- Yanlış Dosya: Gönderilen dosyanın seçilen araç/ECU ile uyuşmaması veya işlenebilir nitelikte olmaması,
- ECU Desteklenmiyor: İlgili ECU tipinin hizmet kapsamı dışında olması.
İade, kredi olarak Müşterinin hesabına yapılır ve işlem kaydı Müşteriye e-posta ile bildirilir.
8.1. İşleme Alınmış Talepler
Dosya bir uzmana atanıp işleme alındıktan sonra hizmet ifa edilmiş sayılır. Bu aşamadan sonra talebin iptali ve kredi iadesi mümkün değildir. Teslim edilen dosyada teknik bir hata bulunması halinde Hizmet Sağlayıcı, ek ücret talep etmeksizin dosyayı yeniden düzenler.
9. Fikri Mülkiyet
- Müşterinin gönderdiği orijinal dosya üzerindeki haklar Müşteride kalır.
- Hizmet Sağlayıcının oluşturduğu düzenlemeler, kullanılan yöntemler ve kalibrasyon bilgi birikimi Hizmet Sağlayıcıya aittir. Müşteriye, teslim edilen dosyayı yalnızca ilgili araçta kullanmak üzere münhasır olmayan bir kullanım hakkı tanınır.
- Teslim edilen dosyanın çoğaltılması, satılması, dağıtılması veya tersine mühendislikle çözümlenmesi yasaktır.
10. Sorumluluğun Sınırlandırılması
Hizmet Sağlayıcının işbu sözleşmeden doğan toplam sorumluluğu, ilgili talep için Müşteriden tahsil edilen kredi bedeliyle sınırlıdır.
Hizmet Sağlayıcı, kanunun emredici hükümleri saklı kalmak kaydıyla, aşağıdakilerden sorumlu değildir:
- Aracın motorunda, şanzımanında, egzoz sisteminde veya diğer aksamında oluşabilecek hasarlar,
- Dosyanın araca hatalı yüklenmesinden doğan zararlar (ECU'nun kilitlenmesi dahil),
- Araç garantisinin kısmen veya tamamen geçersiz hale gelmesi,
- Muayene, emisyon testi veya ruhsat işlemlerinde yaşanacak sorunlar,
- İş kaybı, kâr kaybı, itibar kaybı gibi dolaylı zararlar,
- Müşterinin dosya yedeği almamış olmasından doğan sonuçlar.
11. Yasal Uyarı — Emisyon ve Trafik Mevzuatı
Müşteri, sipariş verdiği modifikasyonun kendi ülkesindeki ve aracın kullanılacağı ülkedeki mevzuata uygunluğunu araştırmak ve buna uymakla münhasıran kendisi yükümlüdür. Hizmet Sağlayıcı, Müşterinin veya üçüncü kişilerin mevzuata aykırı kullanımından doğacak idari para cezaları, trafik cezaları ve diğer yaptırımlardan sorumlu tutulamaz.
12. Hizmetin Askıya Alınması ve Fesih
Hizmet Sağlayıcı, aşağıdaki hallerde hesabı bildirimsiz askıya alabilir veya kapatabilir:
- Sözleşme hükümlerinin ihlali,
- Yanıltıcı beyan veya sahte belge kullanımı,
- Sisteme zarar verici davranış, otomatik erişim, aşırı yüklenme,
- Hizmetin yasa dışı amaçlarla kullanıldığına dair makul şüphe.
Müşteri dilediği zaman hesabını kapatabilir. Hesap kapatılması, kullanılmamış kredilerin otomatik iadesini gerektirmez; bu husus Kredi ve İade Politikası hükümlerine tabidir.
13. Kişisel Verilerin Korunması
Kişisel verilerin işlenmesine ilişkin esaslar Gizlilik Politikası'nda düzenlenmiştir. Müşteri, hesap açmakla Gizlilik Politikası'nı okuduğunu ve kabul ettiğini beyan eder.
14. Mücbir Sebep
Doğal afet, savaş, seferberlik, salgın, siber saldırı, altyapı ve internet kesintileri, barındırma sağlayıcısı kaynaklı arızalar ve benzeri, tarafların kontrolü dışındaki hallerde edimlerin ifa edilememesi temerrüt sayılmaz.
15. Uygulanacak Hukuk ve Yetki
İşbu sözleşme [ülke] hukukuna tabidir. Taraflar arasında doğacak uyuşmazlıklarda [şehir] Mahkemeleri ve İcra Daireleri yetkilidir.
16. Değişiklikler
Hizmet Sağlayıcı bu koşulları değiştirme hakkını saklı tutar. Değişiklikler sitede yayımlandığı anda yürürlüğe girer; Müşteriye e-posta ile bildirilir. Değişiklikten sonra hizmetin kullanılmaya devam edilmesi kabul anlamına gelir.

4. Aktarım ve Hizmet Sağlayıcılar
Veriler, hizmetin sunulabilmesi için aşağıdaki kategorilerdeki tedarikçilerle paylaşılır:

6. İlgili Kişinin Hakları
Kullanıcı; verilerinin işlenip işlenmediğini öğrenme, bilgi talep etme, düzeltilmesini veya silinmesini isteme, işlemeye itiraz etme, taşınabilirlik ve otomatik kararlara itiraz haklarına sahiptir. Talepler [e-posta] adresine iletilebilir ve en geç 30 gün içinde yanıtlanır.
AB'de yerleşik kullanıcılar, ayrıca kendi ülkelerindeki veri koruma otoritesine şikâyette bulunma hakkına sahiptir.
7. Güvenlik Tedbirleri

Kredi ve İade Politikası
1. Kredi Nedir?
Kredi, ECU Felix hizmetlerinden yararlanmak için kullanılan ön ödemeli bir hesap birimidir. Elektronik para veya ödeme aracı değildir, nakde çevrilemez ve üçüncü kişilere devredilemez.
1 kredi = 1 EUR karşılığıdır. Her modifikasyonun kredi bedeli, seçilen ECU'nun zorluk katsayısıyla çarpılır. Nihai tutar talep gönderilmeden önce gösterilir.
2. Geçerlilik Süresi
Krediler satın alma tarihinden itibaren 365 gün geçerlidir. Sürenin sonunda kullanılmayan krediler geçersiz hale gelir ve bedel iadesine konu edilemez. Sürenin dolmasına 30 gün kala kullanıcıya hatırlatma e-postası gönderilir.
3. Cayma Hakkı — Kullanılmamış Krediler
Müşteri, satın aldığı kredilerin hiç kullanılmamış olması kaydıyla, satın alma tarihinden itibaren 14 gün içinde iade talep edebilir.
- Kısmen kullanılmış kredi paketleri iadeye konu edilemez.
- İade, ödemenin yapıldığı yönteme ve aynı hesaba yapılır.
- Ödeme kuruluşu kaynaklı işlem masrafları iade tutarından düşülebilir.
- İade talepleri [e-posta] adresine iletilir ve 14 gün içinde sonuçlandırılır.
4. İşlenemeyen Dosyalarda Tam İade
Aşağıdaki durumlarda talep reddedilir ve düşülen kredi tam olarak hesaba iade edilir:

İade otomatik olarak yapılır ve müşteriye e-posta ile bildirilir. İade edilen kredinin geçerlilik süresi, ilk satın alma tarihine göre işlemeye devam eder.
5. İşleme Alınmış Talepler
Dosya bir uzmana atandıktan sonra hizmet ifa edilmiş sayılır; bu aşamadan sonra iptal ve iade mümkün değildir. Teslim edilen dosyada teknik bir hata tespit edilirse, ek ücret alınmaksızın düzeltilmiş sürüm hazırlanır.
6. Teslim Süresi Aşımı
Sitede belirtilen süreler ortalamadır, taahhüt değildir. Sürenin aşılması iade hakkı doğurmaz.
Çerez Politikası
1. Çerez Nedir?
Çerezler, siteyi ziyaret ettiğinizde cihazınıza kaydedilen küçük metin dosyalarıdır. Oturumunuzun açık kalması, tercihlerinizin hatırlanması ve sitenin güvenli çalışması için kullanılır.

3. Rıza Yönetimi
Zorunlu olmayan çerezler yalnızca onayınızla çalıştırılır. Siteye ilk girişinizde gösterilen bildirimden tercihinizi belirleyebilir, dilediğiniz zaman değiştirebilirsiniz. Müşterinin Sorumluluğu
- Sipariş edilen modifikasyonun ilgili ülkedeki mevzuata uygunluğunu araştırmak Müşterinin yükümlülüğündedir.
- Dosyanın araca yüklenmesi ve sonrasında ortaya çıkabilecek her türlü sonuç Müşteriye aittir.
- Yükleme öncesinde orijinal dosyanın yedeğinin alınması zorunludur.
- Araç garantisinin etkilenmesi, muayeneden geçememe ve idari yaptırımlar Müşterinin sorumluluğundadır.
Hizmetin Niteliği
ECU Felix bir yazılım düzenleme hizmeti sunar. Araç bakımı, onarımı veya fiziki müdahale hizmeti verilmez. Performans artışına ilişkin değerler tahminîdir; araç durumu, yakıt kalitesi, bakım geçmişi ve çevre koşullarına göre değişir. Belirli bir güç veya tork artışı taahhüt edilmez.
Terms of Service
1. Parties
This agreement is concluded between [company name] ([address], tax registration [tax details]) — hereinafter the "Provider" or "ECU Felix" — and the business user registering an account at ecufelix.com — hereinafter the "Customer".
2. Business Customers Only
This service is offered exclusively to business customers. By opening an account, the Customer represents and warrants that they:
- act as a trader, sole proprietor, self-employed professional or legal entity, within the scope of their commercial activity;
- do not act as a consumer and will not assert rights arising from consumer protection legislation;
- have provided accurate company name, tax number and other registration details.
The Provider reserves the right to request supporting documents and to suspend accounts that cannot be verified.
3. Subject Matter and Nature of the Service
The subject of this agreement is the modification of engine control unit (ECU) software files submitted electronically by the Customer, in line with the modifications selected by the Customer, and their electronic delivery back to the Customer.
The service is a software editing service. The Provider does not perform vehicle maintenance, repair, installation or any physical work on vehicles. Flashing the file to the vehicle and all consequences thereof are the sole responsibility of the Customer.
4. Account and Security
- The Customer is responsible for the confidentiality of account credentials and for all activity carried out through the account.
- Accounts are non-transferable and may not be shared with third parties.
- E-mail verification is mandatory. Unverified accounts cannot submit files.
- The Customer must notify the Provider without delay of any suspected unauthorised access.
5. Credit System and Pricing
Service fees are expressed in credits. 1 credit = 1 EUR.
- Credits are purchased in advance and allocated to the Customer's account.
- The credit price of each modification is multiplied by the difficulty coefficient of the selected ECU. The final amount is displayed before the request is submitted.
- Credits are valid for 365 days from the date of purchase. Unused credits expire at the end of this period and are not refundable.
- Credits cannot be converted into cash or transferred to third parties or other accounts.
- Prices may change without prior notice. Changes do not affect the unit value of credits already allocated.
6. File Submission and Customer Representations
For every file submitted, the Customer represents and warrants that they:
- have read the file from the relevant vehicle by proper means and are authorised to have it processed;
- own the vehicle or have obtained the owner's authorisation;
- do not infringe any third-party intellectual property rights;
- are not using the service in connection with a stolen vehicle, unlawful activity or theft;
- have made a backup of the original file on their own systems before submission.
All civil and criminal liability arising from inaccurate representations rests solely with the Customer.
7. Delivery Times
Delivery times stated on the site are averages, not guarantees. They may be exceeded due to workload, file complexity, ECU type or technical difficulty. Exceeding a stated time does not entitle the Customer to terminate the agreement or claim damages.
8. Rejected Requests and Credit Refunds
The Provider rejects the request and refunds the deducted credits in full in the following cases:
- Not Original: the submitted file is found to have been modified previously;
- Wrong File: the file does not match the selected vehicle/ECU or is not processable;
- ECU Not Supported: the ECU type falls outside the scope of the service.
Refunds are credited to the Customer's account and notified by e-mail.
8.1. Requests Already in Processing
Once a file has been assigned to a specialist and processing has begun, the service is deemed performed. Cancellation and refund are not possible from that point. Should a technical fault be found in the delivered file, the Provider will revise it at no additional charge.
9. Intellectual Property
- Rights in the original file submitted by the Customer remain with the Customer.
- The modifications produced by the Provider, the methods applied and the underlying calibration know-how belong to the Provider. The Customer is granted a non-exclusive right to use the delivered file on the relevant vehicle only.
- Reproducing, selling, distributing or reverse-engineering the delivered file is prohibited.
10. Limitation of Liability
The Provider's total liability under this agreement is limited to the credit value charged for the request concerned.
Save for mandatory provisions of law, the Provider is not liable for:
- damage to the engine, transmission, exhaust system or other components of the vehicle;
- damage arising from incorrect flashing of the file, including ECU bricking;
- partial or total invalidation of the vehicle warranty;
- problems during roadworthiness tests, emissions tests or registration procedures;
- indirect losses such as loss of business, profit or reputation;
- consequences of the Customer's failure to back up the original file.
11. Legal Notice — Emissions and Road Traffic Legislation
The Customer is solely responsible for verifying and complying with the legislation applicable in their own country and in the country where the vehicle will be used. The Provider cannot be held liable for administrative fines, traffic penalties or other sanctions arising from unlawful use by the Customer or third parties.
12. Suspension and Termination
The Provider may suspend or close an account without notice in the event of:
- breach of these terms;
- misleading statements or use of falsified documents;
- conduct harmful to the system, automated access or excessive load;
- reasonable suspicion that the service is being used for unlawful purposes.
The Customer may close their account at any time. Closure does not automatically entitle the Customer to a refund of unused credits; this is governed by the Credit and Refund Policy.
13. Data Protection
The processing of personal data is governed by the Privacy Policy. By opening an account, the Customer confirms having read and accepted it.
14. Force Majeure
Natural disaster, war, mobilisation, epidemic, cyber attack, infrastructure and internet outages, failures attributable to hosting providers and similar events beyond the parties' control shall not constitute default.
15. Governing Law and Jurisdiction
This agreement is governed by the laws of [country]. The courts and enforcement offices of [city] shall have exclusive jurisdiction.
16. Amendments
The Provider reserves the right to amend these terms. Amendments take effect upon publication on the site and are notified to the Customer by e-mail. Continued use after an amendment constitutes acceptance.

Users have the right to access, rectify, erase and restrict processing of their data, to object to processing, to data portability and to object to automated decision-making. Requests may be sent to [e-mail] and are answered within 30 days.

Credit and Refund Policy
1. What Is a Credit?
A credit is a prepaid unit of account used to obtain ECU Felix services. It is not electronic money or a payment instrument, cannot be converted into cash and cannot be transferred to third parties.
1 credit = 1 EUR. The credit price of each modification is multiplied by the difficulty coefficient of the selected ECU. The final amount is shown before the request is submitted.
2. Validity
Credits are valid for 365 days from the date of purchase. Unused credits expire at the end of this period and are not refundable. A reminder e-mail is sent 30 days before expiry.
3. Right of Withdrawal — Unused Credits
Provided the purchased credits have not been used at all, the Customer may request a refund within 14 days of purchase.
- Partially used credit packages are not refundable.
- Refunds are issued to the original payment method and account.
- Transaction fees charged by the payment provider may be deducted.
- Requests are sent to [e-mail] and processed within 14 days.
4. Full Refund for Unprocessable Files
The request is rejected and the deducted credits are refunded in full where:

Refunds are automatic and notified by e-mail. The validity period of refunded credits continues to run from the original purchase date.
5. Requests in Processing
Once a file has been assigned to a specialist, the service is deemed performed and no refund is available. If a technical fault is found in the delivered file, a corrected version is provided at no additional charge.
6. Delivery Time Overruns
Times stated on the site are averages, not guarantees. Exceeding them does not create a right to a refund.

- Verifying that the ordered modification complies with applicable legislation is the Customer's obligation.
- Flashing the file to the vehicle and all resulting consequences are the Customer's responsibility.
- A backup of the original file must be taken before flashing.
- Effects on vehicle warranty, failed inspections and administrative penalties are the Customer's responsibility.
Nature of the Service
ECU Felix provides a software editing service. No vehicle maintenance, repair or physical work is carried out. Any figures relating to performance gains are estimates and vary with vehicle condition, fuel quality, maintenance history and environmental conditions. No specific power or torque increase is guaranteed.
